Notice of Meeting of the Membership
The OAIMA membership will meet at 11:30am, Thursday, November 19th during the OAIMA Annual Meeting and Trade Show at the Hilton at Easton, 3900 Chagrin Dr. Columbus, Ohio 43219, for the purpose of its annual business meeting and a vote to adopt the revisions to its Bylaws.
To the Members of the OAIMA:
The Board of Directors voted unanimously to adopt the revised Bylaws, which are available for review on the OAIMA website. These revisions are an important and necessary step toward modernizing the Association's governance. They are meant to make our structure clearer, our operations more efficient, and our leadership better able to serve the membership as our industry and the ways we communicate continue to change.
Many of our current Bylaws provisions were written for an earlier time. Over the years, gaps and ambiguities have built up, along with procedures that no longer match how the Association actually works. The proposed revisions address these issues while keeping the membership's core rights in place. The key changes are summarized below.
- Board Composition and Officer Roles. The revisions clarify the number of Producer Directors and Associate Directors on the Board, and they define the terms and roles of the Officers.
- Election of Officers. The Board, rather than the full Membership, will elect the Officers, subject to ratification by the Membership. The revisions also confirm that Officers continue to serve as Directors of the Board while they hold office.
- Amendment of the Bylaws. The Board may amend the Bylaws by a supermajority vote. Provisions relating to the election of Members and the ratification of Officers are excluded from this power and stay reserved to the Membership.
- Modernized Notice Procedures. The revisions clarify and update how notice may be given for the various meetings of the Association, relying primarily on electronic media.
- Standing Committees. The revisions create four standing Committees of the Board: Executive, Finance, Nominating, and Legislative. They also confirm that the Board keeps the authority to retain existing committees and add or reconstitute committees as needed.
- Associate Director Terms. The term of office for Associate Directors changes from a single three-year term to two two-year terms. This allows for greater continuity while still providing regular opportunities for renewal.
Together, these changes give the Association a clearer and more flexible governance framework. They let the Board respond more effectively to the needs of the industry, and they preserve the Membership's essential role in electing its leaders and ratifying its Officers. The Board believes these revisions will strengthen the OAIMA for years to come, and it respectfully urges the membership to support their adoption.
